ROGER COHEN
Chief Executive Officer and Founder

Roger Cohen, Founder and CEO is an expert on how to improve processes in complex, legal intensive transactions. He brings over 10 years experience in managing and advising start-up companies in strategy and business development and 20 years experience handling $10 billion in complex capital market and loan workouts as a corporate attorney with Brobeck, Phleger and Harrison. Roger led seven IPOs for financial and real estate companies, including New Century Financial and Sunstone Hotel Investors, and completed several asset securitizations and scores of Leveraged Buyouts and debt restructurings, including developing a compliance process for $2 billion CMBS portfolio and developing a unique transaction management system for a debt restructuring involving 5,000 loan documents for what become Starwood Hotels. Roger was an entrepreneur in residence at RichesBaird, a leading B to B Branding firm, where he learned about branding and marketing. Roger studied European history at the American College of Switzerland, international economics at Oxford University, and international law at Tokyo University. He graduated from UC San Diego, summa cum laude, and Boalt Hall School of Law at UC Berkeley.

NICK BOLTON
Chief Operations Officer

Nick Bolton is the Chief Operations Officer responsible for developing work flows and design of the VeriComply platform. In addition, Nick is responsible for the day to day running of the company, coordination of resource and oversees the BPO facility. He brings more than 30 years of operational experience, with 15 years focusing on document management technologies. Nick started his career as an Army Officer and served in Desert Storm. Nick then briefly worked for a German Telecom company (D2 Mannesmann) before being recruited by Bertelsmann AG to lead a business unit in the of the Outsourced Services Division. Nick acquired contracts and built organizations to support the worldwide fulfillment and media production for companies such as Microsoft, Hewlett Packard and Canon. Nick graduated from the Royal Military Academy Sandhurst.

JASON JAMES
Chief Information Security Officer

Jason is an expert at data privacy and security and has over 22 years of systems design and implementation with the last ten years in senior roles at IBM, WMFS and Jefferson Wells as a Director of Professional Services and Project Management Office. Most recently Jason has lead the professional services and technical sales division of a GRC software company specializing in compliance risk management. In professional services Jason has sold and implemented $20 million software solutions to the top five insurance companies worldwide. He has helped multiple companies from $5 million to $10 billion obtain Sarbanes Oxley compliance and lead risk management projects for companies like ACSC and Kyocera. Prior to that he worked in the financial industry with companies like Swiss Bank, Marsh McLennan and Option One leading teams of up to 30 analysts in projects based in Italy, France, the UK and the US. Jason has qualifications in Electronics and Communication from Waltham Forest College UK. He is a Cobol, CICs, DB2 programmer as well as a being a Certified Information Systems Auditor. Jason sits on the board of the Institute of Internal Auditors and Information Systems Audit and Controls Association in Orange County.

ROGER DICKERSON
President and Chief Financial Officer

Mr. Dickerson serves as the Company’s President and CFO. Roger brings decades of experience in marketplace lending, technology operations, and accounting. He was VP of Finance Operations at LendingClub where he oversaw investor operations. These operations included processes and technology for order fulfillment, reporting, custody, cash and asset documentation. During his tenure, Roger helped investors fund approximately $23Billion of loans.
Prior to joining LendingClub he was CFO and CCO at PageMill Partners, which provides M&A advisory services to the technology industry. He also was a Director of Corporate Development at Charles Schwab. Roger first joined Schwab as Director of Strategic Finance and Planning in the Schwab Technology Group. Mr. Dickerson has his B.S. from DePaul University and a MBA from the University of Chicago.

BRUCE BOLTON
Chief Technology Officer

Bruce Bolton is the Chief Technology Officer responsible for the overall architecture, technical designs and development of the VeriComply platform. He brings more than 25 years of software development experience, with 20 years focusing on document management technologies. Bruce started his career at Center-File (a Ceridian company) working on financial software and by the end of his time at Center-File, Bruce led a team that developed a Microsoft Windows based tax solution that won an industry award with over 2,000 customers. Bruce then moved to PriceWaterhouseCoopers where he was the lead architect for the content management group, overseeing a number of enterprise implementations, working with technologies such as Documentum, Vignette, FileNET, and OpenText. Bruce holds a Bachelor of Sciences in Computer Studies from the University of Wales.

TJ VALENZUELA EVP
National Sales Manager

TommyJoe (TJ) Valenzuela is EVP, National Sales Manager is responsible for creating and managing customer relationships with the originators, custodians, warehouse lenders and other participants in the Marketplace Lending ecosphere. Prior to joining VeriComply, TJ worked with Millennium Trust Company as SVP Western Region Director, where he helped establish the brand for unique private/public fund services and custody throughout the western United States. TJ worked within the Alternative Solutions Group (ASG) to bring to market unique institutional custodial services for a range of customer from Registered Investment Advisors (RIAs), Investment Sponsors, Institutional Investors, Private Fund Managers and Individual investors. . From 2010 to 2016, TJ was the driving force in growing AUC from $2 Billion to over $20 Billion. TJ also held positions at Trust Administration Services (TAS) where he was the VP of Sales and Marketing, AG Edwards & Sons, TD Waterhouse and PaineWebber. Mr. Valenzuela earned a Bachelor of Arts degree in economics from the University of California at San Diego. He has held the series 7, 63, 65 and 8 brokerage licenses.
