VeriComply Vault Terms of Use
INTRODUCTION
The VeriComply Vault was developed by VeriComply, Inc. ("VeriComply") to host legal and business data and documents. Please review the following terms and conditions concerning your use of the VeriComply Vault and all documentation concerning the use, operation and administration of the VeriComply Vault (collectively, the "Documentation"). VeriComply reserves the right to change these terms and conditions from time to time at its sole discretion.
USE OF VeriComply Vault
Users of the vault are granted a revocable, non-exclusive right to use the VeriComply Vault to upload, view, copy, email and print materials posted in the VeriComply Vault from time to time (the "Content"), subject to the limitation on access and use rights imposed by the system administrator. Your rights of use of the VeriComply Vault and the Content are expressly conditioned on the following limitations: (a) the VeriComply Vault may be used solely for the purpose of reviewing the Content and using it for the business purpose authorized by the VeriComply customer for whom the VeriComply Vault has been deployed (the "Customer"); and (b) the Content may not be used for any purpose other than the purpose permitted by the Customer.
No user shall do any of the following: (i) reproduce, copy, modify, translate, or otherwise change the VeriComply Vault software or Documentation; (ii) rent, lease, license, transfer or otherwise provide another potential customer or third parties access to the VeriComply Vault; (iii) distribute or provide subscriptions to the VeriComply Vault or the Documentation; (iv) remove, cover, or alter any trade-mark, trade name, copyright, or other proprietary notices, labels, or marks appearing on or in copies of any Documentation; or (v) reverse engineer, de-compile, disassemble, or otherwise attempt to derive the source code of any software included in the VeriComply Vault.
TRADEMARKS
All trademarks, service marks, patents, copyrights, trade secrets and other proprietary rights in or related to VeriComply Vault and Documentation are and will remain the exclusive property of VeriComply or its licensors, whether or not specifically recognized or perfected under local applicable law. Customer will not take any action that jeopardizes VeriComply's or its licensors' proprietary rights, nor will Customer acquire any right in the VeriComply Vault or the underlying software included in the VeriComply Vault except the limited use rights specified in this Agreement.
CONFIDENTIALITY
Each user is responsible for preserving the confidentiality of VeriComply Vault access number(s), password(s) and account number(s), and shall not share his or her password with any other person. If the user believes that his or her access number, password, or account number has been misused, then the user shall promptly notify VeriComply.
DISCLAIMER
VeriComply assumes no responsibility for the accuracy of the Content, including any indexed data used to filter, file or sort any documents posted to the VeriComply Vault or any reports generated by the VeriComply Vault. VeriComply may change the software programs at any time without notice. ALL INFORMATION, SOFTWARE, PRODUCTS AND SERVICES PROVIDED ON THIS VERICOMPLY VAULT ARE PROVIDED "AS IS" WITH ALL FAULTS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. VERICOMPLY AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESSED OR IMPLIED INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. VERICOMPLY AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, COSTS OF REPLACEMENT GOODS, LOSS OR DAMAGE TO CONTENT AND DATA ARISING OUT OF THE USE OR INABILITY TO USE THE VeriComply Vault OR DAMAGES RESULTING FROM ANY DELAYED, LOST OR MISDIRECTED COMMUNICATION.
LINKS TO THIRD PARTY SITES
The VeriComply Vault may from time to time contain links to web sites controlled by third parties. VeriComply provides these links merely as a convenience. Access to other web sites is at your own risk and VeriComply is not responsible for and does not endorse or accept any responsibility over the contents or use of these web sites.
ACCESS TO PASSWORD PROTECTED OR SECURE AREAS
Access to and use of password protected and/or secure areas of the VeriComply Vault is restricted to authorized users only. Access rights to the Content in the VeriComply Vault are set by the system administrators.
GOVERNING LAW AND JURISDICTION
The VeriComply Vault is managed by VeriComply as a hosted solution from its offices in Irvine, California, United States of America. All matters relating to your access to, or use of, the VeriComply Vault shall be governed by the laws of the State of California. Any legal action or proceeding relating to your access to, or use of, the VeriComply Vault shall be instituted in a state or federal court in Orange County, California. You and VeriComply agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
You may not access, download, use or export the information, software, products or services contained on the VeriComply Vault in violation of U.S. export laws or regulations, or in violation of any applicable local laws or regulations.
